LALOULI TERMS OF SERVICE

Last Updated: October 15, 2026

These Terms of Service (these “Terms”) govern your use of the Lalouli LLC (“Lalouli,” “we,” “us,” or “our”) website, app, printables, and related products, services, tools, and technology platforms (collectively, the “Services”). The terms “you,” “your,” and “user” refer to the person using the Services. You represent that you are authorized to accept these Terms for any household or other person on whose behalf you use the Services.

Lalouli helps families plan and celebrate the moments that matter. Through the Services, you can create themed family experience plans for holidays, seasons, special occasions, and everyday activities like a holiday morning or a rainy afternoon (each, a “Moment”). Each Moment is tailored to your family’s preferences and may include, e.g., activities, recipes, personalized printables, film suggestions, a prep timeline, and a shopping list. Some Moments are featured, often seasonal experiences that may be offered at different levels, such as “Keep it simple,” “A little extra,” and “Go all out,” which Lalouli may rename, add, combine, or remove at any time (“Signature Moments,” shown in the Services as “Big Moments”); others are designed for ordinary, non-holiday days (“Everyday Moments”). Lalouli decides, in its sole discretion, which Moments are Signature Moments or Everyday Moments, and the features, contents, and levels of any Moment may change over time. You can access Moments through a membership, as described in Section 6.

Please refer to our Privacy Policy (“Privacy Policy”) for information about how we collect, use, store, and disclose personal information.

DISCLAIMER: THE SERVICES PROVIDE IDEAS FOR FAMILY ACTIVITIES, RECIPES, SETUPS, AND FILM SUGGESTIONS FOR INFORMATIONAL AND PLANNING PURPOSES ONLY. THE SERVICES DO NOT PROVIDE, AND NOTHING AVAILABLE THROUGH THE SERVICES CONSTITUTES, MEDICAL, HEALTH, NUTRITIONAL, DIETARY, ALLERGY, PSYCHOLOGICAL, CHILD DEVELOPMENT, SAFETY, OR OTHER PROFESSIONAL ADVICE, DIAGNOSIS, OR TREATMENT, AND THE SERVICES ARE NOT A SUBSTITUTE FOR PARENTAL JUDGMENT OR THE ADVICE OF A PHYSICIAN, PEDIATRICIAN, ALLERGIST, DIETITIAN, OR OTHER QUALIFIED PROFESSIONAL. LALOULI IS NOT A HEALTHCARE PROVIDER, AND YOUR USE OF THE SERVICES DOES NOT CREATE A PHYSICIAN PATIENT OR OTHER PROFESSIONAL RELATIONSHIP. NEVER DISREGARD PROFESSIONAL ADVICE OR DELAY SEEKING IT BECAUSE OF ANYTHING YOU READ OR RECEIVE THROUGH THE SERVICES. IF YOU OR A CHILD MAY BE EXPERIENCING A MEDICAL EMERGENCY, INCLUDING AN ALLERGIC REACTION, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY. LALOULI CANNOT GUARANTEE THAT ANY FOOD OR PRODUCT IS ALLERGEN-FREE. PARENTS AND CAREGIVERS ARE SOLELY RESPONSIBLE FOR SUPERVISION, SAFETY, AND DETERMINING WHETHER ANY ACTIVITY, RECIPE, PRODUCT, SETUP, OR FILM IS SUITABLE FOR THEIR FAMILY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ASSUME ALL RISKS ARISING FROM ACTIVITIES UNDERTAKEN IN CONNECTION WITH THE SERVICES AND AGREE TO INDEMNIFY AND HOLD LALOULI HARMLESS FROM CLAIMS ARISING OUT OF THOSE ACTIVITIES.

1. ACCEPTANCE OF TERMS

Please read these Terms carefully before accessing or using the Services. By clicking “I Agree,” checking the acceptance box, or otherwise affirmatively indicating your assent, or by using or continuing to use the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms, including additional terms and policies referenced in or linked from these Terms. If you do not agree to all terms and conditions, you may not access or use the Services.

2. ELIGIBILITY TO USE THE SERVICES

You must be at least eighteen (18) years old and able to form a binding contract to use the Services. Lalouli is made for parents, legal guardians, and other adult caregivers. You warrant that your registration information is true, accurate, current, and complete, that you will maintain it, and that your use of the Services will comply with applicable law.

The Services are not directed to children. Children may not create Accounts or use the Services themselves. You may use the Services to plan for children in your care, subject to Section 4 and the Privacy Policy.

We reserve the right, but are not obligated, to limit the use of the Services to any person, geographic region, or jurisdiction. We may exercise this right in our sole discretion. Descriptions of the Services may change at any time, and we may discontinue the Services, in whole or in part, at any time.

3. USER ACCOUNTS

3.1 Agreement to Provide Accurate Registration Information. To use the Services, you must register for an account (“Account”). You agree to provide accurate, current, and complete registration information and to maintain it. Registration is personal to you, and you may maintain only one Account per household. You may not use another person’s Account or allow unauthorized access to your Account.

3.2 User Submission of Personal Information. When creating an Account and using the Services, you may provide your name, email address, password, zip code, family name, household preferences, photos, notes, answers, content you save to any feature of the Services, if and as made available, that allows you to store photographs, notes, and other keepsakes from your family’s Moments (the “Memory Bank”), and other materials you submit, post, upload, or otherwise make available through the Services (collectively, “User Content”). By submitting information or User Content, you consent to its collection, use, and disclosure as described in these Terms and our Privacy Policy.

3.3 Household Members. If and when Lalouli makes this feature available, Lalouli may allow you to invite another adult in your household to access the Account. Each invitee must be at least eighteen (18) years old, and you may not invite a minor. You are responsible for each person you invite, for invitees’ use of the Services, and for ensuring that their access complies with these Terms.

3.4 Account Security. You are solely responsible for activity under your Account and for safeguarding your login credentials. Notify us immediately if you suspect unauthorized use or another security breach. Use the Services only on a device with current operating-system security patches enabled. We may implement CAPTCHA, rate limiting, session invalidation, and other security measures.

3.5 Electronic Communications. By creating an Account, you consent to electronic communications from Lalouli. These communications may satisfy legal requirements that communications be in writing.

By creating an Account, you agree to receive marketing communications from Lalouli, including tips, new Moments, and offers. You may opt out at any time using the unsubscribe link in each email or the controls in your Account settings. We will comply with applicable requirements, including the CAN-SPAM Act.

Emails, including marketing emails, may include children’s first names that you provided, such as “Ava and Theo’s night is ready,” and may be delivered through our email service provider (e.g., Astrodon Corporation (d/b/a Loops)).

If Lalouli offers text messaging, by providing your mobile number and opting in, you agree to receive recurring automated text messages from Lalouli at that number, which may include account notifications, reminders, and, if you separately consent, marketing messages. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP, and reply HELP for help or contact us at hello@lalouli.com. Carriers are not liable for delayed or undelivered messages. You represent that you are the account holder or authorized user of the mobile number you provide and will notify us if that number changes, and you agree to indemnify Lalouli for claims including under the Telephone Consumer Protection Act, arising from your failure to do so.

3.6 We May Suspend Accounts. Lalouli may terminate, suspend, or restrict access to an Account if (i) we discover multiple Accounts for the same household, (ii) we suspect illegal, fraudulent, or unauthorized use, (iii) you violate these Terms, or (iv) your use imminently threatens the security, stability, integrity, or availability of the Services or harms Lalouli, other users, or third parties. Lalouli is not liable for losses arising from such termination, suspension, or restriction to the maximum extent permitted by law.

4. INFORMATION ABOUT YOUR CHILDREN

4.1 Adult-Directed Services. The Services are directed to adults eighteen (18) years of age and older. Children are not users of the Services and may not create Accounts or use the Services. Parents and caregivers voluntarily provide information about children in their care, including first names, ages or birthdays, interests, “the little things,” and, if and when available, photographs. By adding that information, you represent that you are the child’s parent, legal guardian, or authorized adult and have the right to provide it.

4.2 Optional Household Settings. Kitchen rules, such as nut-free, gluten-free, or dairy-free preferences, and holidays celebrated are optional settings. Lalouli uses them to tailor suggestions, recipes, and shopping lists to your household, to create Statistical Information, and as otherwise described in these Terms and our Privacy Policy, including, where you direct us, to send a shopping list that reflects those settings to a Retail Partner. Kitchen rules are preferences only and are not a medical or allergy screening tool. Lalouli does not sell these settings in a form that identifies you.

5. USE OF THE SERVICES

5.1 Restrictions on Use. You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not, and may not allow a third party to: (i) violate any law, sanctions program, or law governing children’s privacy; (ii) impersonate another person or misrepresent your identity, age, or authorization; (iii) upload content that infringes another party’s rights; (iv) defraud Lalouli, users, or others; (v) provide false, inaccurate, or misleading information; (vi) violate another person’s privacy or publicity rights; (vii) engage in or encourage illegal activity; (viii) collect information from the Services without proper consent; (ix) modify, adapt, translate, or reverse engineer the Services; (x) remove proprietary notices; (xi) use robots, spiders, or similar devices to retrieve or index the Services or collect user information for an unauthorized purpose; (xii) create Accounts by automated, false, or fraudulent means; (xiii) use the Services to create a competing product or service; (xiv) license, sublicense, transfer, sell, resell, rent, lease, distribute, share, or commercially exploit the Services except as expressly permitted; (xv) send spam or unsolicited messages; (xvi) transmit malicious code; (xvii) interfere with the Services or related data; (xviii) attempt unauthorized access; (xix) access the Services for benchmarking or competitive monitoring; (xx) share your Account outside your household; (xxi) use the Services or printables for a business, including party-planning or classroom resale; (xxii) resell, redistribute, publish, or commercially exploit printables; (xxiii) violate the privacy of children or minors; (xxiv) bully, harass, intimidate, or harm another user; or (xxv) otherwise misuse the Services.

5.2 Fair Use. Memberships are for your own household. To keep the Services fair and available, Lalouli may impose reasonable limits on unusual use, including automated access, excessive access, or business use, and will provide notice where reasonably practicable.

6. MEMBERSHIP, PRICING, PAYMENT AND RENEWAL

6.1 Plans and Fees. Lalouli offers the plans described below, including annual membership plans (each, a “Membership”). The current prices, fees, plan features, and any eligibility limits for each plan are displayed through the Services, including on our pricing page and at checkout (collectively, the “Pricing Terms”), and are incorporated into these Terms by reference. Lalouli may change the Pricing Terms, add or retire plans, and offer promotional or introductory pricing from time to time without amending these Terms, subject to Section 6.6 and applicable law. The Pricing Terms shown at checkout when you complete your purchase control that purchase. Applicable taxes are additional unless stated otherwise.

  • Founding Family Membership. For a limited number of families, as described in the Services, Lalouli may offer an annual Membership at the founding price stated in the Pricing Terms (the “Founding Family Membership”). This plan includes the Membership benefits below, and the price you paid at initial purchase is locked as described in Section 6.2.
  • Membership. For the annual fee stated in the Pricing Terms, during the membership year, you receive every Signature Moment offered at every level, unlimited Everyday Moments, and all member features, subject to Section 6.3.
  • Free Experiences. At our discretion, we may offer one or more free Moments or free levels of a Moment, as described in the Services, generally one per family (each, a “Free Experience”). Free Experiences may change or end at any time and do not require payment unless you choose a paid offering.

6.2 Founding Family Price Lock. If you purchase a Founding Family Membership, the annual price you paid at initial purchase remains in effect for each renewal only if your membership renews continuously. If a renewal payment fails, we will notify you by email, and if the payment failure is not cured within five (5) days, your membership will end. The price lock ends if the membership ends or lapses, including because of a payment failure not cured within five (5) days. Lalouli may, in its sole discretion, extend this cure period, but it is not obligated to do so.

6.3 What’s Included and What May Change. Your membership gives access to the Signature Moments and Everyday Moments we offer during the membership year. We do not promise a set number of Moments, a specific Moment, or a release schedule. Moments are seasonal and may be updated, replaced, delayed, retired, or not launched. Plans and printables already made stay yours to keep. “Coming soon” means a plan, not a promise. Dates may move, and a displayed Moment may change, be delayed, or not launch. Membership fees are not contingent on future functionality, a particular release, or public comments about future features unless Lalouli agrees otherwise in writing. Free Experiences are offered at our discretion, may be limited to one (1) per household, and may change or end at any time. Lalouli may set reasonable limits on unusual use under Section 5.2.

6.4 Automatic Renewal. YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW FOR SUCCESSIVE ONE (1) YEAR TERMS, AND WE WILL CHARGE YOUR PAYMENT METHOD ON FILE THE THEN-CURRENT ANNUAL PRICE FOR YOUR PLAN (PLUS APPLICABLE TAXES) ON OR ABOUT EACH RENEWAL DATE, UNLESS YOU CANCEL BEFORE THE RENEWAL DATE AS DESCRIBED IN SECTION 6.5. BY PURCHASING A MEMBERSHIP, YOU AFFIRMATIVELY CONSENT TO THESE AUTOMATIC RENEWAL TERMS. After purchase, we will send you an acknowledgment by email that includes these automatic renewal terms, our cancellation policy, and how to cancel. We will also send you a reminder email at least thirty (30) days, and no more than forty-five (45) days, before each renewal stating the renewal date, the amount to be charged, and how to cancel. If the renewal price will change, we will notify you of the new price and how to cancel in advance of the change, within the time required by applicable law, and before you are charged.

6.5 Cancellation and No Refunds. You may cancel (i.e., turn off automatic renewal) anytime online in one tap in your Account settings within the Services (currently labeled “Our family,” the “Command Center”) or by emailing hello@lalouli.com. Your membership remains active through the paid year. PAYMENTS ARE NON-REFUNDABLE, INCLUDING FOR RENEWALS, PARTIAL YEARS, AND UNUSED MOMENTS, EXCEPT WHERE REQUIRED BY LAW.

6.6 Price Changes; Taxes; Payment Processing. We may change prices for future periods after advance notice before the change applies to your renewal, and founding pricing remains protected as described above. Prices exclude applicable taxes. Lalouli uses third-party providers (such as Stripe) to securely store your payment card information and process your payments (“Payment Processors”). When you purchase a Membership or otherwise make an order through the Services (a “Transaction”), our Payment Processors may ask you to supply additional information relevant to your Transaction, including your credit card number, the expiration date of your credit card, and your email and postal addresses for billing and notification (such information, “Payment Information”). You will provide all Payment Information directly to our Payment Processors. You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. The amounts due and payable by you for a Transaction will be presented to you before you place your order. When you initiate a Transaction through the Services, you authorize our Payment Processors to complete your Transaction, and to charge your payment method for the Transaction (plus any applicable taxes and other charges). You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information). By initiating a Transaction, you agree to the pricing, payment, and billing policies applicable to such fees and charges, as posted or otherwise communicated to you.

6.7 Transactions and Fee Disputes. We may decline or cancel a Transaction for a declined payment, suspected fraud, false information, or other appropriate reason, and we will not charge or will refund Transactions we do not process. If you have a fee concern, contact us first at hello@lalouli.com before initiating a payment reversal or dispute.

6.8 Account Deletion and Reactivation. Cancelling a membership is different from deleting an Account. You may delete your Account in the Command Center or by emailing hello@lalouli.com; retention and deletion will follow the Privacy Policy. If you later reactivate, you will receive then-current pricing and terms, and the founding price will not be restored.

7. ACTIVITIES, RECIPES AND SAFETY

Lalouli suggests family activities, recipes, and setups. You know your children best and are responsible for deciding what is suitable and safe. Supervise children during every activity, especially those involving scissors, small parts, balloons, heat, water, food, or the kitchen. Small parts and uninflated or broken balloons may be choking hazards. Age ranges are guidance only.

Kitchen rules may help us select recipes and products, but Lalouli cannot guarantee that food or products are allergen-free. Lalouli is not a medical, nutrition, or allergy provider. Ingredients and formulas change; always read labels, check every ingredient, and follow your own medical guidance. Recipes, ingredient substitutions, kitchen rules, product suggestions, age ranges, and other content, including content generated by AI Features, are not reviewed by a physician, allergist, dietitian, or other licensed professional and are not intended to diagnose, treat, cure, mitigate, or prevent any disease, allergy, or condition. Consult a qualified professional about any health, dietary, allergy, or developmental question concerning you or your child. To the fullest extent permitted by law, Lalouli is not liable for any allergic reaction, illness, injury, or other harm arising from any recipe, food, product, or activity suggested through the Services. Use decorations, lights, and furniture safely, follow manufacturer instructions, and never leave candles or heat sources unattended.

Film suggestions may use publicly available age guidance, such as official ratings, and Lalouli’s own notes. They are a starting point, not a guarantee that a film suits your child. Lalouli is not affiliated with studios or streaming services, and availability may change. To the fullest extent permitted by law, participation in activities and use of recipes and setups is at your own discretion and risk.

8. INTELLECTUAL PROPERTY

8.1 Intellectual Property Ownership and License. All content on the Services, including activities, recipes, plans, designs, illustrations, printables, text, graphics, logos, images, interfaces, information, code, and software, and the selection and presentation of that content (collectively, “Platform Content”), is owned by Lalouli, its content providers, or its licensors and protected by applicable law. Platform Content does not include User Content.

Subject to these Terms, Lalouli grants you a personal, non-exclusive, non-transferable, non-sublicensable, non-commercial license to access the Services and to download, print, and reprint printables for your family and children in your care, as often as you like, including after your Membership ends. You may print and share those printables with family and friends, but not sell, resell, redistribute, publish, or use them as templates or in a business.

Your access does not grant any other license in Platform Content or Lalouli’s trademarks. “Lalouli,” our logo, and product names are our marks. Movies, characters, and brands mentioned through the Services belong to their owners; their mention does not imply endorsement. All rights not expressly granted are reserved by Lalouli and its licensors.

8.2 AI-Generated Images and Illustrations. Photos, illustrations, and examples on the Services and in marketing are illustrative. Some are created or edited with AI tools, including images depicting parents and children. People shown are not real Lalouli members or customers and are not endorsements or testimonials. Results vary. Where images of people appear, Lalouli will use commercially reasonable efforts to label them, e.g., “Illustrative image.”

8.3 Feedback. By sending feedback, comments, questions, ideas, proposals, or suggestions concerning Lalouli or the Services (“Feedback”), you represent that you may disclose it and that it does not violate another party’s rights or contain confidential information. You grant Lalouli an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, copy, display, perform, distribute, publish, and sublicense Feedback without credit or compensation. This section survives termination.

8.4 Errors, Inaccuracies and Omissions. The Services may contain typographical errors, inaccuracies, or omissions concerning descriptions, pricing, promotions, or offers. We may correct them, update information, or cancel Transactions affected by inaccurate information without prior notice, subject to applicable law.

8.5 Aggregated and De-identified Data. We may collect, derive, and compile, manually or automatically, aggregated, anonymized, or de-identified data from or relating to the Services and your use of them, including information about Moments, preferences, purchases, User Content, and other information you provide (e.g., the popularity of certain themes, recipes, or products among families in a region), in a form that does not reasonably identify you, your household, or any child (“Statistical Information”). Lalouli owns all rights in Statistical Information and may use, disclose, license, and otherwise exploit Statistical Information for any lawful purpose, during and after your use of the Services, including for operations, analytics, research, development, training and improving AI Features, marketing, and sharing with Retail Partners and other third parties.

8.6 Artificial Intelligence Features. Lalouli may use, and may in the future introduce, features that rely on artificial intelligence, machine learning, large language models, or similar technologies, whether developed by Lalouli or provided by third parties (“AI Features”), e.g., to generate or personalize Moments, activities, recipes, printables, images, film suggestions, shopping lists, and recommendations. Content generated by AI Features (“AI Output”) may be inaccurate, incomplete, unsuitable, or similar to output provided to other users, and is not reviewed by a medical, nutrition, safety, or other professional. You are solely responsible for evaluating AI Output before relying on it, including checking ingredients and allergens and supervising children. Subject to applicable law and our Privacy Policy, you agree that Lalouli and its service providers may use User Content, your inputs, and information about your use of the Services to operate, develop, train, test, and improve AI Features and other Lalouli products and services, except that Lalouli will not use children’s names, ages or birthdays, or photographs to train any artificial intelligence model. Lalouli may add, change, suspend, or discontinue AI Features at any time, and additional terms may apply to particular AI Features. Lalouli does not currently send your household’s or children’s information to third-party AI providers; if that changes, we will update these Terms and our Privacy Policy and tell you before it does, and we will obtain your consent where required by applicable law. AI Output is provided “as is” and is subject to Section 13.

9. USER CONTENT

9.1 Ownership of User Content. You retain all rights and ownership in User Content, including photos, notes, answers, Memory Bank content, household preferences, and other materials you submit. Except for the license below, these Terms do not transfer ownership of User Content to Lalouli.

9.2 License to User Content. By submitting User Content, you grant Lalouli and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable (including to service providers) license to host, store, reproduce, process, modify, create derivative works of, display, and otherwise use User Content to provide, maintain, develop, and improve the Services and other Lalouli products and services (including AI Features), to create Statistical Information, to fulfill your instructions, and as otherwise described in these Terms and our Privacy Policy. Lalouli will not publicly display your photographs or Memory Bank content without your permission. The license includes technical copying and formatting needed to operate the Services. You represent and warrant that you have all rights and permissions needed to submit User Content, including consent from people depicted in photographs.

10. PRODUCTS, RETAILERS AND AFFILIATE LINKS

Lalouli works with retailers, brands, and affiliate program operators, such as Target, Amazon, Michaels, Etsy, Walmart, and Instacart (collectively, “Retail Partners”). When you click a link to a Retail Partner or direct us to send your shopping list to a Retail Partner, the Retail Partner may receive the information needed to complete that action, e.g., your shopping list, product selections, and the fact that you were referred by Lalouli so that purchases and commissions can be attributed, in each case as described in our Privacy Policy. Lalouli does not currently sell your personal information to Retail Partners or share it with them for cross-context behavioral advertising or targeted advertising; if that changes, we will update our Privacy Policy and provide any opt out rights required by applicable law before we do. Lalouli will not share children’s names, ages or birthdays, or photographs with Retail Partners except as needed to complete an action you direct. Lalouli may also share Statistical Information with Retail Partners. Retail Partners use information they receive under their own terms and privacy policies, and Lalouli is not responsible for their practices.

Products may be available directly from Retail Partners. When you purchase, you buy directly from the retailer under its terms, prices, availability, shipping, return, and privacy policies. Lalouli is not the seller and is not responsible for retailer products, orders, delivery, returns, or customer service. Retail Partner offers are between you and the Retail Partner.

Prices and availability shown through the Services are estimates; the final price and availability appear at the retailer’s checkout. Follow manufacturer age guidance, warnings, and instructions, and report product-safety concerns to the manufacturer or retailer.

Some links are affiliate links, and we clearly and conspicuously disclose them. Lalouli participates in affiliate programs and earns commissions on qualifying purchases at no extra cost to you. Commissions do not determine our recommendations.

11. OTHER LALOULI OFFERINGS

Lalouli may offer concierge planning, party boxes and physical products, events and workshops, gift memberships and gift cards, partner offers, referral rewards, and early-access features. Each offering may have its own price, shipping, return, safety, or other terms shown before purchase. Partner purchases are between you and the partner. Early-access features may change, break, or end and are provided as available. Additional terms apply alongside these Terms whenever Lalouli presents them before you purchase or use an offering. Lalouli may add, change, or discontinue any offering at any time, subject to applicable law.

12. INDEMNIFICATION

12.1 Indemnification by User. You agree to indemnify, defend, and hold harmless Lalouli and its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from and against losses, claims, damages, judgments, demands, actions, proceedings, investigations, expenses, and threats thereof, including reasonable attorneys’ fees, arising out of or relating to (a) your breach of these Terms or incorporated documents; (b) your violation of law or a third party’s rights; (c) your use of the Services, including activities, recipes, products, setups, or personal injury, death, or property damage connected with them; (d) User Content you upload, including photographs of others; or (e) an overt harmful act toward another user.

12.2 Indemnification Procedure. We will attempt to provide notice of a claim at the contact information on file, but failure to do so will not eliminate or reduce your obligations. Lalouli may assume the exclusive defense and control of any matter subject to indemnification, at its cost, and you will cooperate fully. This Section survives termination of your Account, these Terms, or your access to the Services.

13. DISCLAIMERS; LIMITATION OF LIABILITY

13.1 Lalouli Makes No Representations or Warranties; Disclaimer. YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, LALOULI AND ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LALOULI MAKES NO WARRANTY ABOUT THE ACCURACY, COMPLETENESS, CURRENCY, OR SUITABILITY OF CONTENT, AI OUTPUT, RECOMMENDATIONS, RECIPES, MOMENTS, PRODUCTS, OR ACTIVITIES. NOTHING AVAILABLE THROUGH THE SERVICES CONSTITUTES MEDICAL, NUTRITIONAL, ALLERGY, OR OTHER PROFESSIONAL ADVICE. LALOULI DOES NOT WARRANT THAT ANY MOMENT, RECIPE, PRODUCT, OR ACTIVITY WILL BE SUITABLE, SAFE, OR ALLERGEN-FREE FOR YOUR FAMILY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. LALOULI IS NOT LIABLE FOR PRODUCTS PURCHASED FROM THIRD-PARTY RETAILERS OR PARTNERS, FOR THE ACTS, OMISSIONS, OR DATA PRACTICES OF RETAIL PARTNERS, OR FOR PERSONAL INJURY OR ILLNESS ARISING FROM ACTIVITIES, RECIPES, OR PRODUCTS UNDERTAKEN OR USED IN CONNECTION WITH THE SERVICES.

13.2 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LALOULI OR ITS AFFILIATES, OFFICERS, DIRECTORS, AGENTS, CONTRACTORS, REPRESENTATIVES, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF REVENUE, PROFITS, BUSINESS, USE, GOODWILL, DATA, OR USER CONTENT, ARISING FROM THESE TERMS OR THE SERVICES, EVEN IF FORESEEABLE OR ADVISED OF THE POSSIBILITY. NOTWITHSTANDING ANYTHING TO THE CONTRARY, LALOULI’S MAXIMUM TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (i) $100 OR (ii) THE AMOUNT YOU PAID LALOULI IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

14. DISPUTE RESOLUTION

14.1 Mandatory Arbitration of Disputes. We each agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, “Disputes”) will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. You and Lalouli agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms, and that you and Lalouli are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms. Unless the AAA Rules require otherwise, any in-person arbitration hearing will take place in Fairfield County, Connecticut, and any Disputes not subject to arbitration will be resolved exclusively in the state or federal courts located in Fairfield County, Connecticut, and you consent to the personal jurisdiction of those courts.

14.2 Exceptions. As limited exceptions to Section 14.1 above: (i) we both may seek to resolve a Dispute in small claims court if it qualifies; and (ii) we each retain the right to seek injunctive or other equitable relief from a court to prevent or enjoin the infringement or misappropriation of our respective intellectual property rights.

14.3 Conducting Arbitration and Arbitration Rules. The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”) then in effect, except as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. A party who wishes to start arbitration must submit a written Demand for Arbitration to AAA and give notice to the other party as specified in the AAA Rules. The AAA provides a form Demand for Arbitration at www.adr.org. The arbitration will be conducted in English, and the arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Arbitration Costs. Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules, and each party shall bear its own costs and expenses of arbitration, including legal fees.

14.5 Injunctive and Declaratory Relief. Except as provided in Section 14.2 above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. To the extent that you or we prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.

14.6 Class Action Waiver. YOU AND LALOULI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. MISCELLANEOUS

15.1 Changes to These Terms. We may update these Terms. We may elect to notify you of such changes by mail, email, posting of modified Terms, or some other similar manner. However, it is your responsibility to check the Services regularly for changes to these Terms. Your continued use of or access to the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

15.2 Severability. If any provision is unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted by law and the unenforceable portion will be severed without affecting the remaining provisions.

15.3 Termination and Survival. These Terms remain effective until terminated by you or us. You may terminate by deleting your Account or notifying us that you no longer wish to use the Services. We may terminate or suspend access if you violate these Terms or for another lawful reason in our discretion. Payment obligations, indemnification, disclaimers, limitations of liability, ownership, intellectual-property rights, dispute provisions, and other provisions that by their nature should survive will survive termination.
